These terms of service apply to quotations, orders and deliveries of products supplied by KINKUO ELECTRONICS CO., LTD unless a separate written agreement has been signed by both parties.
Terms of service: quotations and validity
Quotations are valid for 30 days from the date of issue unless stated otherwise. Prices are based on the specification, quantity and delivery term set out in the quotation. If the specification changes, the quotation may be revised accordingly.
Custom cable assembly pricing assumes the design is manufacturable to the drawing supplied. Where an engineering change is required, we will advise before production and provide a revised quotation where the change affects cost or lead time.
Orders and acceptance
An order is accepted when we issue a written order confirmation. The confirmation states the part numbers, quantities, unit prices, delivery term and estimated dispatch date, and forms the basis of the contract. Please review it and notify us immediately of any discrepancy.
Prices and payment
Prices are exclusive of applicable taxes and duties unless expressly stated. Payment terms are confirmed on the order confirmation. Where a deposit is required for custom tooling or made-to-order production, production begins on receipt of the deposit.
Delivery
Delivery times stated in quotations and confirmations are good-faith estimates based on current production capacity and material availability. Where a delivery date is critical, we will confirm feasibility in writing before accepting the order.
Trade terms are FOB, EXW, CIF or DDP as agreed in the order confirmation. Risk transfers in accordance with the agreed Incoterm. Title to the goods passes to the buyer on receipt of full payment.
Inspection and acceptance
Every shipment includes a test report covering the tests performed. Buyers are asked to inspect goods on receipt and notify us of any shortage, damage or apparent non-conformity within 30 days of delivery. Goods that are found to be non-conforming should be retained in their original condition pending our inspection or return authorisation.
Warranty
Products are warranted against defects in materials and workmanship that appear under normal use for a period of 30 days from delivery, or for the period stated in the order confirmation if different.
Where a verified defect is found, we will at our option repair, replace or refund the affected goods. This warranty does not cover defects arising from incorrect installation, use outside the published specification, unauthorised modification, or normal wear of consumable items.
Returns
Returns require a return authorisation before shipment. Unauthorised returns may not be accepted. Stocked items returned unused in original packaging may be accepted within 30 days subject to a restocking assessment; custom assemblies built to a customer drawing are not returnable unless defective.
Intellectual property
Tooling, drawings and process knowledge developed by KINKUO remain our property unless a separate agreement provides otherwise. Customer-supplied drawings, specifications and technical data remain the customer’s property, and are used solely to manufacture the goods ordered.
Where products are manufactured to a customer design, the customer is responsible for ensuring that the design does not infringe third-party intellectual property rights.
Limitation of liability
Our liability arising from any order is limited to the value of the goods supplied under that order. We are not liable for indirect or consequential losses, including loss of production, loss of profit or damage to equipment, except where such liability cannot be excluded under applicable law.
Governing terms
Unless otherwise agreed in writing, these terms are governed by the laws of the People’s Republic of China. Disputes will first be addressed through good-faith negotiation, and if unresolved may be submitted to the competent court at Dongguan.
